This Confidentiality and Non-Circumvention Agreement (hereinafter referred to as "Agreement") is entered into on 2025-03-21 (hereinafter referred to as "Effective Date"), by and between:

Confidentiality and Non-Circumvention:
1.1 Confidentiality: The Receiving Party hereby certifies that , its employees, companies, or affiliates (collectively referred to as "Receiving Party") shall maintain strict confidentiality regarding any information related to properties or development opportunities disclosed by the Disclosing Party/Consultants and shall not disclose such information to any third party without the prior written consent of the Disclosing Party.
1.2 Non-Circumvention: The Receiving Party agrees not to circumvent the Consultants, either directly or indirectly, by entering into any contracts, agreements, or transactions with the owner/seller of the property disclosed by the Disclosing Party without the knowledge and prior written consent of the Disclosing Party. Any such circumvention shall be considered a breach of this Agreement.
2. Disclosed Property: The Disclosing Party will provide information relating to several off-market properties.
3. Term: This Agreement shall remain in effect for a period of twenty-four (24) months from the Effective Date.
4. Amendments: This Agreement may only be amended by a written agreement signed by all Parties.
IN WITNESS WHEREOF, the Receiving Party has executed this Confidentiality and Non-Circumvention Agreement as of the Effective Date, acknowledging and agreeing to the terms set forth herein.
